This End User License Agreement ("EULA" or "Agreement") is a legally binding contract between you ("User," "you," or "your") and TouchApp Inc., a Delaware corporation (EIN: 32-0615643, Delaware File No.: 7721589), with its registered address at 16192 Coastal Highway, Lewes, DE 19958, United States (Sussex County) ("Licensor," "Company," "we," "us," or "our").
This EULA governs your use of the BASTUDIO application (the "App"), available on iOS (Apple App Store), Android (Google Play Store), and on the web at bastud.io (collectively, the "Platforms").
By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree to the terms of this EULA, do not download, install, or use the App.
You represent and warrant that you are at least 18 years of age, have the legal capacity to enter into this Agreement, and, if acting on behalf of a business entity, have the authority to bind that entity to this EULA.
Subject to the terms and conditions of this EULA and your compliance with all applicable terms, TouchApp Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
This license does not grant you any ownership interest in the App or any right to distribute, sublicense, modify, or create derivative works based on the App. The license is effective until terminated by you or TouchApp Inc.

Any violation of these restrictions may result in immediate termination of this license and may subject you to civil and criminal liability.
BASTUDIO operates on a freemium subscription model. While basic access may be available at no cost, premium features require an active paid subscription.
Free Trial: We offer a 7-day free trial for new subscribers. During the trial period, you will have access to premium features at no charge. The free trial is available once per user account and is non-transferable. At the end of the trial period, your subscription will automatically convert to a paid subscription at the applicable rate unless you cancel before the trial expires.
Subscription Plans: We offer monthly and annual subscription plans. Pricing is displayed within the App at the time of purchase and may vary by region and platform.
Auto-Renewal: All subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date. You will be charged the then-current subscription rate for the renewal period.
Cancellation:
Refunds: Refund policies are governed by the respective platform (Apple, Google, or Stripe). We do not directly process refunds for in-app purchases made through the App Store or Google Play. For web subscriptions processed through Stripe, please contact us to discuss refund eligibility.
You acknowledge and agree that this EULA is entered into between you and TouchApp Inc. only, and not with Apple Inc. ("Apple") or Google LLC ("Google"). TouchApp Inc., not Apple or Google, is solely responsible for the App and its content.
Apple App Store: If you downloaded the App from the Apple App Store, you acknowledge and agree that:

You retain full ownership of all content you upload, create, or generate through the App, including patient photographs, case notes, before-and-after images, generated videos, and any other materials ("User Content").
By using the App, you grant TouchApp Inc. a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and display your User Content solely for the purpose of providing and improving the App's services to you. This license terminates when you delete your User Content or your account, except to the extent required for backup, archival, or legal purposes.

TouchApp Inc. does not claim ownership of your User Content. We will not use, share, or disclose your User Content except as described in this EULA and our Privacy Policy.
IMPORTANT MEDICAL DISCLAIMER: BASTUDIO is NOT a medical device and is NOT HIPAA compliant. The App is not designed, intended, or certified to meet the requirements of the Health Insurance Portability and Accountability Act (HIPAA), the Health Information Technology for Economic and Clinical Health (HITECH) Act, or any other healthcare data protection regulation.
The App is designed as a marketing, portfolio, and content-creation tool for aesthetic surgery professionals. It is not intended to serve as an electronic health records (EHR) system, a clinical decision support tool, or a substitute for professional medical judgment.
Your Responsibilities:
TouchApp Inc. makes no representations or warranties regarding the App's compliance with healthcare regulations. You use the App at your own risk and assume full responsibility for ensuring compliance with applicable laws.
TouchApp Inc. disclaims all liability for any unauthorized disclosure of patient information, any regulatory violations, or any claims arising from your use of the App in connection with patient data.
The App, including but not limited to its design, source code, object code, graphics, user interface, visual elements, logos, trademarks, service marks, trade names, algorithms, data structures, video generation technology, transition effects, annotation overlays, and all other elements (excluding User Content), is the exclusive property of TouchApp Inc. and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
TouchApp Inc. may, from time to time, develop and release updates, upgrades, patches, bug fixes, new features, or modifications to the App ("Updates"). You acknowledge and agree that:
Your privacy is important to us. Our collection, use, storage, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into this EULA by reference.

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
TouchApp Inc. does not warrant that:
The App is not a medical device, is not FDA-cleared or approved, and should not be used for clinical diagnosis, treatment planning, or as a substitute for professional medical judgment. The App is intended solely as a marketing and portfolio tool for aesthetic professionals.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOUCHAPP INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
IN NO EVENT SHALL TOUCHAPP INC.'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS EULA OR YOUR USE OF THE APP EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE ACTUALLY PAID TO TOUCHAPP INC. IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS (US $100.00).
THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT TOUCHAPP INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.
You agree to defend, indemnify, and hold harmless TouchApp Inc. and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
This EULA is effective until terminated. TouchApp Inc. may terminate or suspend your license and access to the App immediately, without prior notice or liability, for any reason, including but not limited to:
Your Right to Terminate: You may terminate this EULA at any time by deleting the App from your devices and ceasing all use. You may also request account deletion by contacting us at support@bastud.io.
Effects of Termination:
We recommend that you export or download any User Content you wish to retain before terminating your account or deleting the App.
You acknowledge and agree that the App may be subject to United States export control laws and regulations, including the Export Administration Regulations (EAR) maintained by the U.S. Department of Commerce, as well as sanctions programs administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC).
You represent and warrant that:
This EULA shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any disputes, claims, or controversies arising out of or relating to this EULA, the App, or your use thereof shall be resolved exclusively in the state or federal courts located in Sussex County, Delaware. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue in such courts.
Informal Resolution: Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at support@bastud.io. We will attempt to resolve the dispute informally within thirty (30) days. If the dispute is not resolved within that period, either party may proceed with formal legal action as permitted under this EULA.
If any provision of this EULA is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of this EULA. The remaining provisions shall continue in full force and effect, and the invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the parties.
If such modification is not possible, the invalid provision shall be severed from this EULA, and the remaining provisions shall be interpreted so as to best effectuate the intent of the original EULA.
This EULA, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and TouchApp Inc. with respect to your use of the App and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the subject matter hereof.
No amendment to or modification of this EULA will be binding unless in writing and signed by TouchApp Inc. No waiver of any provision of this EULA shall be deemed a waiver of any other provision, and no waiver shall constitute a continuing waiver unless expressly stated.
